These Terms of Service (“Terms”) govern your access to and use of Talantrix (the “Service”), accessible at talantrix.com and through related applications. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
The Service is operated by the entity identified in Section 21 (“Operator Information”) of these Terms.
1. The Service
Talantrix is a cloud-based applicant tracking system designed for tech recruiters. The Service allows you to manage job openings, track candidates through hiring pipelines, parse resumes, search candidate profiles, and manage hiring workflows.
2. Eligibility
You must be at least 18 years old and capable of entering into a binding legal agreement to use the Service. By using Talantrix, you represent that you meet these requirements. The Service is intended for recruitment professionals and business use.
3. Account Registration
To access the Service, you must create an account using LinkedIn or Google authentication. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@talantrix.com if you become aware of any unauthorized use of your account.
4. Subscription Plans and Payments
4.1 Plans
Talantrix offers multiple subscription plans with varying features and usage limits. Current plan details and pricing are available at talantrix.com/pricing. We reserve the right to modify plan features and pricing with 30 days' advance notice.
4.2 Billing
Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. All prices are listed in US dollars.
4.3 Free Trial
If we offer a free trial, you may be required to provide payment information. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan.
4.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.
4.5 Refunds
All fees are non-refundable except where required by applicable law. If you believe a charge was made in error, contact us at hello@talantrix.com within 30 days.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:
- Use the Service to store, transmit, or process data in violation of any applicable law or regulation, including data protection and employment laws.
- Upload or store content that is defamatory, obscene, fraudulent, or that infringes on any third party's intellectual property rights.
- Attempt to gain unauthorized access to the Service, other users' accounts, or our systems and infrastructure.
- Use the Service to send unsolicited bulk communications (spam) to candidates or any other parties.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure of the Service.
- Use automated scripts, bots, or scrapers to access the Service, except through our official API where available.
- Resell, sublicense, or redistribute access to the Service without our written consent.
- Use the Service in any way that could damage, disable, or impair its functionality.
- Access the Service for the purpose of competitive analysis, benchmarking, or building a competing product.
We reserve the right to suspend or terminate your account if we reasonably believe you have violated these terms.
6. Candidate Data and Your Responsibilities
6.1 Data Controller
You are the data controller for all candidate personal data you upload, store, or process through the Service. This includes resumes, contact information, interview notes, and any other candidate-related data. We act as a data processor on your behalf.
6.2 Your Obligations
You are responsible for ensuring that your collection and use of candidate data through the Service complies with all applicable data protection and employment laws, including but not limited to US state privacy laws (CCPA, VCDPA, and others) and any other regulations applicable to your jurisdiction. This includes obtaining any necessary consents from candidates and honoring data subject requests.
6.3 Data Export
You may export your data at any time during your active subscription using the export tools available within the Service. We support export in standard machine-readable formats.
6.4 Data Deletion
Upon account termination or cancellation, you may request deletion of all candidate data stored in your account by contacting us at hello@talantrix.com. We will delete your data within 30 days of such request, unless we are required by law to retain it. After the 30-day period following account termination, your data will no longer be accessible and will be permanently deleted.
7. AI-Powered Features
The Service includes AI-powered features such as resume parsing, semantic skill matching, and profile analysis. These features are provided as tools to assist your recruiting workflow and are not intended to make autonomous hiring decisions. You acknowledge that:
- AI-generated results may contain errors or inaccuracies and should be reviewed by a human before acting on them.
- You are solely responsible for all hiring decisions made using the Service.
- AI features may be updated, modified, or removed as the Service evolves.
8. Service Availability
8.1 Uptime
We use commercially reasonable efforts to maintain the availability of the Service and target platform uptime of at least 99.5%, excluding scheduled maintenance and circumstances beyond our reasonable control. Scheduled maintenance windows will be communicated in advance where possible.
8.2 Modifications
We may modify, suspend, or discontinue any part of the Service at any time. For material changes that negatively affect your use, we will provide reasonable advance notice.
9. Intellectual Property
9.1 Our Property
The Service, including its design, features, code, documentation, and branding, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein. All trademarks, logos, and service marks displayed on the Service are our property and may not be used without our prior written consent.
9.2 Your Content
You retain ownership of all data and content you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to process, store, and display that content solely for the purpose of providing the Service to you.
9.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without any obligation or compensation to you.
10. Confidentiality
10.1 Definition
“Confidential Information” means all non-public information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Your Confidential Information includes your candidate data, hiring strategies, and account information. Our Confidential Information includes the Service, its underlying technology, and the terms of any pricing not publicly listed.
10.2 Obligations
Each party agrees to: (a) use the other party's Confidential Information solely for the purposes of this Agreement; (b) not disclose Confidential Information to any third party except as necessary to provide or use the Service, and only under obligations of confidentiality; and (c) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, and no less than reasonable care.
10.3 Exceptions
Confidential Information does not include information that: (a) is or becomes publicly available without breach of these Terms; (b) was known to the receiving party before disclosure; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is independently developed without reference to the disclosing party's Confidential Information.
10.4 Compelled Disclosure
A party may disclose Confidential Information to the extent required by law, provided that the disclosing party gives the other party reasonable prior notice (to the extent legally permitted) and cooperates in any effort to obtain protective treatment for the information.
11. Free Resources
Talantrix offers free downloadable resources, including ebooks and guides, through our website. These materials are provided for informational purposes only and are licensed for personal, non-commercial use. You may not redistribute, resell, or republish these materials without our written consent.
12. Third-Party Services
The Service integrates with third-party services including LinkedIn, Google, and Stripe. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party services.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.
- We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- In no event shall our total liability to you exceed the amount you paid us in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.
14. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any candidate data or other content you upload to the Service.
15. Publicity
We may use your company name and logo to identify you as a Talantrix customer on our website and marketing materials. Any further use, including case studies or testimonials, requires your advance written permission. You may revoke this right at any time by contacting us at hello@talantrix.com.
16. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond the party's reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet or telecommunications failures, power outages, or third-party service provider outages.
17. Export Compliance
You agree not to use, export, or re-export the Service in violation of any applicable export control laws or regulations, including those of the United States. You represent that you are not located in, or a national or resident of, any country subject to US trade sanctions, and that you are not listed on any US government restricted party list.
18. Dispute Resolution
18.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.
18.2 Negotiation
In the event of any dispute arising from these Terms, the parties will first attempt to resolve the matter through good-faith negotiation for a period of thirty (30) days.
18.3 Arbitration
If negotiation does not resolve the dispute, it shall be finally settled by binding arbitration conducted online, in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in English. Any decision or award shall be in writing and shall include an explanation of findings. Either party may seek injunctive relief in a court of competent jurisdiction.
18.4 Class Action Waiver
You agree to resolve disputes with us on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding.
19. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
20. General
- Termination. We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 6, 9, 10, 13, 14, and 18 survive termination.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Entire Agreement. These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
